Terms of Service

Welcome to ARX Operations. These Terms of Service ("Terms") govern your access to and use of our website, revenue infrastructure services, and related offerings. By visiting our site or entering into a partnership with us, you agree to these Terms. Please read them carefully.

1. Overview

a. Information You Provide

ARX Operations ("we," "us," or "our") provides backend operations, revenue architecture, and automation services to content creators and digital businesses. Our website and services are available at arxoperations.com.

By using our services, you agree to:

  • Provide accurate, truthful, and up-to-date information.

  • Use our services for lawful purposes in accordance with Costa Rican law.

  • Abide by these Terms and any specific Partnership Agreements signed.

If you disagree with any part of these Terms, please refrain from using our site or services.

2. Why We Use Your Information

We offer specialized operational services ("Shadow Operations"), including but not limited to:

  • Forensic Audits: Analysis of audience data, revenue leakage, and monetization potential.

  • Revenue Infrastructure: Building custom landing pages, funnels, and checkout flows.

  • Backend Automation: Implementation of email marketing, retention systems, and community management.

  • Digital Product Launch: Strategy and execution for courses, memberships, and digital assets.

Scope of Work: Each partnership is scoped individually. Deliverables, timelines, and specific revenue-share percentages are detailed in a separate Partnership Agreement or Service Proposal agreed upon before work begins.

3. Who Has Access

We operate primarily on a performance-based model. By engaging with us, you acknowledge the following financial structures:

a. Revenue Share Model

For "Shadow Operator" partnerships, our fees are contingent on performance. We utilize Whop (or designated payment processors) to execute Automatic Revenue Splits. By using our services, you authorize the automatic routing of the agreed-upon percentage of gross revenue to ARX Operations at the point of sale.

b. Audits & One-Time Fees

Certain diagnostic services, such as the "Deep-Dive Audit," may incur a one-time fee. This fee is non-refundable once the audit process has commenced, in accordance with Article 40 of Costa Rica's Consumer Protection Law regarding services that have begun execution.

c. Taxes (IVA)

In compliance with Costa Rican tax regulations, services may be subject to Value Added Tax (Impuesto sobre el Valor Agregado - IVA) where applicable.

4. Intellectual Property

a. Client Ownership

You (the Creator) retain full ownership of your brand, your audience data (email lists), and your intellectual property. ARX Operations does not claim ownership over your persona or pre-existing content.

b. Infrastructure License

Upon termination of a partnership, you retain the rights to use the funnels, websites, and automations we built for you, provided all outstanding revenue shares or fees have been settled.

c. ARX Proprietary Methods

You acknowledge that the underlying methodologies, code templates, and "Shadow Stack" architectures used to build your system remain the intellectual property of ARX Operations.

5. Revisions & Feedback

For custom infrastructure builds, we include a revision cycle as defined in your specific proposal. Feedback must be provided within 3 business days to ensure launch timelines are met. Delays in feedback may result in a shift of the launch date.

6. User Conduct

You agree not to:

  • Use our services to sell illegal goods or services under Costa Rican law.

  • Attempt to reverse-engineer our proprietary software or automation flows.

  • Misrepresent your identity or business metrics during the Audit phase.

We reserve the right to suspend or terminate services immediately if we detect fraudulent activity or violation of these Terms.

7. Cancellations & Right of Withdrawal (Derecho de Retracto)

a. Right of Withdrawal

In accordance with Law 7472 (Ley de Promoción de la Competencia y Defensa Efectiva del Consumidor), the standard 8-day right of withdrawal (derecho de retracto) applies to sales made outside of a commercial establishment. However, this right does not apply once the execution of the service has begun with your consent (e.g., once the Audit has started or the infrastructure build has commenced).

b. Partnership Termination

Termination of long-term Revenue Share partnerships is governed by the specific exit clauses outlined in your private Partnership Agreement (typically requiring a 30-day notice).

8. Limitation of Liability

To the fullest extent permitted by Costa Rican law, ARX Operations is not liable for:

  • Fluctuations in creator revenue or audience engagement.

  • Platform-specific bans or restrictions (e.g., Instagram, TikTok, YouTube) resulting from your content.

  • Issues caused by third-party tools (Whop) or service interruptions.

We provide our infrastructure "as-is" and do not guarantee specific financial outcomes, as results depend on audience behavior and market conditions.

9. Data Protection (Law 8968)

We are committed to protecting your data in compliance with Law 8968 (Ley de Protección de la Persona frente al Tratamiento de sus Datos Personales). We collect only the data necessary to execute our services and do not sell your data to third parties. By using our services, you consent to the processing of your data for the purpose of revenue optimization and communication.

10. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of Costa Rica. Any disputes arising from these Terms shall be resolved in the courts of San José, Costa Rica, unless an alternative dispute resolution method (Arbitration) is agreed upon in your Partnership Agreement.
